You must have the legal capacity to enter into a binding agreement to use the Services.
If you use the Services on behalf of a company, nonprofit organization, church, ministry, business, or other entity, you represent that you have authority to accept these Terms on behalf of that entity.
In that situation, “you” and “your” refer to both you and the organization you represent.
3. Website Use
Pac Soft grants you a limited, non-exclusive, non-transferable, revocable right to access and use pacsoft.us for lawful business and informational purposes.
You agree not to:
- Use the website or Services for unlawful purposes
- Attempt to gain unauthorized access to Pac Soft systems or accounts

- Use the Services to violate applicable laws or third-party rights
We may restrict or terminate access when we reasonably believe use of the Services threatens security, violates these Terms, violates applicable law, or materially interferes with our systems or other users.
4. Consultations, Proposals, and Estimates
Pac Soft may offer free consultations to prospective customers.
A consultation, preliminary discussion, demonstration, estimate, or general price range does not by itself create an obligation for Pac Soft to perform a project.
Project scope, pricing, estimated timelines, deliverables, payment requirements, and other project-specific terms may be provided in a proposal, quote, statement of work, invoice, order form, or other agreement.
Unless expressly stated otherwise in writing, estimates are based on the information available when the estimate is prepared and may change if project requirements, assumptions, integrations, technical conditions, third-party requirements, or requested features change.
5. Client Agreements and Order of Precedence
Certain Services may be governed by additional agreements, including:
- Statements of work
- Project proposals
- Software development agreements
- Subscription agreements
- Software license agreements
- Service-level agreements
- Maintenance agreements
- Order forms
- Quotes or accepted estimates
- Other written agreements between Pac Soft and a customer
These Terms supplement those agreements.
If a written agreement signed or otherwise expressly accepted by Pac Soft conflicts with these Terms, the project-specific agreement will control with respect to the subject matter of that conflict.
6. Project Scope and Change Requests
Pac Soft will perform custom development according to the scope agreed upon with the client.
Requests outside the agreed scope may require additional development time, fees, or a revised delivery schedule.
Pac Soft may require written approval of a change order, revised estimate, additional invoice, or updated statement of work before beginning out-of-scope work.
Pac Soft is not required to provide functionality, integrations, revisions, or deliverables that are not included in the agreed project scope.
7. Client Responsibilities
Successful software projects require timely cooperation between Pac Soft and the client.
Clients may be responsible for providing:
- Accurate project requirements
- Content, branding, images, documents, and other requested materials
- Access to necessary systems, hosting accounts, APIs, or third-party services
- Timely feedback and approvals
- Testing and acceptance feedback
- Authorized points of contact
- Legally authorized data and content necessary for the project
Project schedules may be affected when required information, access, feedback, payment, approvals, or materials are delayed.
Pac Soft is not responsible for delays caused by the client’s failure to provide reasonably necessary information, access, approvals, or materials.
8. Fees and Payment
Fees for Pac Soft Services will be communicated through the applicable proposal, quote, invoice, order form, subscription page, or other agreement.
Depending on the Service, Pac Soft may require:
- An upfront deposit
- Milestone payments
- Recurring subscription payments
- Monthly service fees
- Hourly development fees
- Fixed project fees
- Usage-based charges
Payment terms specified in a project agreement, proposal, invoice, subscription plan, or order form are incorporated into these Terms.
You agree to provide accurate billing information and pay applicable charges when due.
Pac Soft may suspend work, hosting, access, support, subscriptions, or other Services when amounts are materially overdue, subject to any applicable written agreement and applicable law.
9. Deposits, Cancellations, and Refunds
Custom software and consulting projects often require Pac Soft to reserve development resources and begin work specifically for a client.
Deposit, cancellation, and refund terms may therefore vary by project and will be governed primarily by the applicable proposal, statement of work, invoice, subscription terms, or other agreement.
Unless otherwise stated in writing, amounts already earned for completed work, development time, consulting time, purchased third-party services, domain registrations, licenses, infrastructure, or other nonrecoverable costs are not refundable.
Nothing in this section limits any refund or cancellation right required by applicable law.
10. Subscriptions and Recurring Services
Certain Pac Soft products or Services may be offered through recurring subscriptions.
Subscription pricing, billing frequency, included functionality, user or seat limits, usage limits, trial periods, and cancellation terms may be displayed when you subscribe or described in an applicable order form.
Unless otherwise stated, subscriptions may automatically renew for successive billing periods until canceled.
Cancellation generally prevents future renewal and does not automatically provide a refund for a billing period that has already begun, except where required by law or expressly stated in the applicable subscription terms.
11. Taxes and Third-Party Costs
Unless expressly included in a proposal or agreement, quoted Pac Soft fees may not include taxes or third-party costs.
Third-party costs may include:
- Cloud hosting
- Domain registrations
- Email services
- SMS or telephone services
- Artificial intelligence API usage
- Payment-processing fees
- Third-party software licenses
- Premium plugins or themes
- Data providers
- Application-store fees
- External APIs and integrations
Responsibility for these costs will depend on the applicable project agreement or service configuration.
12. Intellectual Property
Pac Soft Property
Pac Soft retains ownership of its pre-existing intellectual property, reusable technology, software frameworks, libraries, development tools, templates, methodologies, processes, algorithms, know-how, internal tools, generic components, and other materials developed independently of a particular client project (“Pac Soft Materials”).
Nothing in these Terms transfers ownership of Pac Soft Materials unless Pac Soft expressly agrees otherwise in writing.
Custom Client Deliverables
Ownership and licensing of custom software, source code, designs, documentation, and other project deliverables will be governed by the applicable project agreement.
Where Pac Soft expressly agrees that ownership of custom deliverables will transfer to a client, such transfer may be conditioned upon Pac Soft receiving full payment of all amounts due for the applicable project.
Client Materials
Clients retain ownership of content, trademarks, logos, business data, documents, images, and other materials they provide to Pac Soft, subject to any rights belonging to third parties.
You grant Pac Soft a limited right to use Client Materials as reasonably necessary to perform the requested Services.
You represent that you have the necessary rights and permissions to provide Client Materials to Pac Soft for the intended project.
13. Open-Source and Third-Party Software
Software developed or provided by Pac Soft may incorporate open-source software, third-party libraries, frameworks, APIs, platforms, plugins, models, or other third-party technology.
Those components may be governed by separate licenses and terms imposed by their respective providers.
Nothing in these Terms modifies rights or obligations imposed by an applicable open-source or third-party license.
14. Third-Party Services and Integrations
Pac Soft solutions may integrate with services operated by third parties, including cloud providers, payment processors, communications platforms, artificial intelligence providers, data providers, application stores, authentication providers, analytics services, and other APIs.
Third-party services are controlled by their respective providers and may be subject to separate terms, privacy policies, pricing, usage limits, and availability requirements.
Pac Soft does not control third-party services and cannot guarantee that they will remain available, compatible, secure, unchanged, or free of charge.
Changes made by a third-party provider may require modifications to software developed by Pac Soft. Unless otherwise included in an applicable support or maintenance agreement, work required because of third-party changes may be separately billable.
15. Artificial Intelligence Services
Pac Soft may develop, provide, or integrate software that uses artificial intelligence, machine learning, large language models, speech recognition, text generation, image generation, automation, or other AI technologies.
AI-generated output may contain errors, omissions, inaccuracies, unexpected results, or information that requires human verification.
Unless Pac Soft expressly agrees otherwise in writing, AI-powered features should not be treated as a substitute for qualified professional judgment in areas such as legal, medical, financial, accounting, employment, regulatory, or other high-impact decisions.
Customers are responsible for reviewing AI-generated output and determining whether it is appropriate for their intended use.
Availability and functionality of third-party AI models may change based on the policies, pricing, technical limitations, or availability of their providers.
16. Customer Data
In providing software development, hosting, SaaS, automation, integration, or support Services, Pac Soft may process information supplied by or on behalf of customers.
Customers retain their rights in data they provide to Pac Soft, subject to applicable agreements and third-party rights.
You represent that you have the legal authority and necessary permissions to provide such information to Pac Soft and to instruct Pac Soft to process it for the applicable Services.
Additional privacy and data-processing terms may apply to particular products or projects.
17. Privacy
Pac Soft’s collection and processing of personal information is governed by applicable privacy notices and policies.
Individual Pac Soft products may have separate privacy policies describing the information collected and processed by those products.
When a separate product privacy policy applies, that policy should be reviewed together with these Terms and any product-specific terms.
18. Confidential Information
During a project, Pac Soft and its clients may exchange confidential or proprietary business information.
Where a separate nondisclosure agreement, confidentiality agreement, proposal, or project agreement applies, confidentiality obligations will be governed by that agreement.
Pac Soft will use reasonable measures to protect confidential client information provided to us for the purpose of performing Services.
Confidential information does not generally include information that is publicly available through no breach of an obligation, independently developed without use of confidential information, or lawfully obtained from another source without a confidentiality obligation.
19. Security
Pac Soft uses administrative, technical, and organizational measures designed to protect systems and information under our control.
However, no software, website, network, cloud platform, data-storage system, or electronic transmission method can be guaranteed to be completely secure.
Customers are responsible for maintaining reasonable security over their own accounts, credentials, devices, systems, and authorized users.
You should promptly notify Pac Soft if you reasonably believe credentials or systems related to a Pac Soft Service have been compromised.
20. Hosting, Domains, and Infrastructure
Pac Soft may provide or assist with hosting, domains, cloud infrastructure, email, databases, application deployment, and other technical infrastructure.
Unless expressly included in a written agreement, infrastructure and third-party service costs may be charged separately.
Pac Soft cannot guarantee uninterrupted operation of infrastructure controlled by third-party providers.
Customers remain responsible for maintaining accounts, subscriptions, credentials, licenses, and payment arrangements that are designated as customer-managed.
21. Maintenance and Support
Completion or delivery of a software project does not automatically include unlimited ongoing maintenance, support, upgrades, modifications, hosting, monitoring, or future development.
Any included post-launch support period or ongoing maintenance service will be described in the applicable agreement.
Additional development requested after project completion may be subject to additional fees.
22. Testing and Acceptance
Clients are responsible for reasonably reviewing and testing custom deliverables provided for their acceptance.
Any acceptance procedure, testing period, warranty period, or defect correction process stated in a project-specific agreement will control.
Requests that constitute new functionality or changes to previously approved requirements may be treated as additional work rather than defect correction.
23. Software and Service Availability
Pac Soft works to provide reliable software and services, but uninterrupted or error-free operation cannot be guaranteed.
Services may occasionally be unavailable because of:
- Scheduled maintenance
- Emergency maintenance
- Software updates
- Cloud-provider outages
- Internet or telecommunications failures
- Third-party service interruptions
- Security incidents
- Events outside Pac Soft’s reasonable control
Specific uptime commitments apply only when expressly provided in a service-level agreement or other written agreement.
24. Acceptable Use of Pac Soft Products
You may not use Pac Soft products or Services to:
- Violate applicable law
- Infringe intellectual property rights
- Distribute malware or malicious software
- Gain unauthorized access to systems or data
- Facilitate fraud or deceptive conduct
- Interfere with the operation of networks or services
- Circumvent security or access restrictions
- Send unlawful spam or abusive communications
- Collect or process information unlawfully
- Use the Services in a manner that materially threatens the security or availability of Pac Soft systems
Pac Soft may suspend or terminate Services when reasonably necessary to prevent unlawful activity, security threats, material abuse, or violations of these Terms.
25. Professional and Regulatory Responsibility
Pac Soft provides software development and technology services.
Unless expressly agreed otherwise in writing, Pac Soft does not provide legal, accounting, medical, financial, investment, tax, regulatory, or other licensed professional advice.
Customers operating in regulated industries are responsible for identifying the laws, regulations, industry rules, licensing requirements, and internal policies applicable to their organization and intended use of software.
If specific regulatory compliance requirements are part of a project, they should be expressly identified in the applicable project scope or agreement.
26. Client Content and Legal Compliance
Clients are responsible for the legality and accuracy of content, data, instructions, products, services, and business activities they operate through software developed or maintained by Pac Soft.
Pac Soft’s development of technical functionality does not constitute a representation that a client’s particular business model, content, workflow, data-processing activity, or use of that functionality complies with every law or regulation applicable to the client.
27. Feedback
If you voluntarily provide suggestions, ideas, feature requests, or other feedback regarding Pac Soft products or Services, Pac Soft may use that feedback to improve its products and Services without restriction or compensation, provided that doing so does not grant Pac Soft ownership of your confidential information or Client Materials.
28. Pac Soft Website Content
Unless otherwise indicated, content appearing on pacsoft.us, including text, graphics, branding, logos, website designs, software demonstrations, documentation, and other materials, is owned by Pac Soft or used with permission.
You may not reproduce, distribute, sell, republish, or commercially exploit Pac Soft website content without authorization, except as permitted by law.
29. Third-Party Websites
Pac Soft websites and products may contain links to third-party websites or services.
Pac Soft does not control those websites or services and is not responsible for their content, availability, privacy practices, security, or terms.
Your use of third-party services is governed by the terms and policies of those providers.
30. Disclaimers
EXCEPT AS EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT AND TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAC SOFT SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
PAC SOFT DISCLAIMS WARRANTIES THAT ARE NOT EXPRESSLY PROVIDED IN AN APPLICABLE WRITTEN AGREEMENT, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE EXTENT SUCH DISCLAIMERS ARE PERMITTED BY LAW.
PAC SOFT DOES NOT WARRANT THAT EVERY SERVICE WILL BE UNINTERRUPTED, COMPLETELY ERROR-FREE, OR COMPATIBLE WITH EVERY THIRD-PARTY SYSTEM OR FUTURE VERSION OF THIRD-PARTY TECHNOLOGY.
NOTHING IN THIS SECTION EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
31. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAC SOFT LLC AND ITS MEMBERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM OR RELATED TO THE SERVICES, INCLUDING LOST PROFITS, LOST REVENUE, LOST BUSINESS OPPORTUNITIES, LOSS OF GOODWILL, OR LOSS OF DATA, EVEN IF THE POSSIBILITY OF SUCH DAMAGES WAS KNOWN.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAC SOFT’S AGGREGATE LIABILITY ARISING FROM A PARTICULAR PAID SERVICE OR PROJECT WILL NOT EXCEED THE AMOUNT PAID TO PAC SOFT FOR THE SERVICE OR PROJECT GIVING RISE TO THE CLAIM DURING THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, UNLESS A DIFFERENT LIABILITY LIMIT IS EXPRESSLY PROVIDED IN THE APPLICABLE WRITTEN AGREEMENT.
These limitations do not apply where applicable law prohibits such a limitation.
32. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Pac Soft LLC and its members, employees, contractors, and affiliates from third-party claims, liabilities, damages, and reasonable expenses arising from:
- Your unlawful use of the Services
- Content or materials you provide to Pac Soft
- Your violation of third-party intellectual property or privacy rights
- Your material violation of these Terms
- Your use of software developed by Pac Soft in a manner that violates applicable law or exceeds the agreed intended use
This section does not require indemnification for claims resulting from Pac Soft’s own conduct to the extent such indemnification would be prohibited by applicable law.
33. Suspension and Termination
Pac Soft may suspend or terminate access to Services when reasonably necessary because of:
- Material violation of these Terms
- Nonpayment of amounts due
- Fraudulent or unlawful activity
- Security threats
- Abuse of Pac Soft infrastructure
- Requirements imposed by law or legal process
- Discontinuation of a Service
Where reasonably practicable, Pac Soft may provide notice and an opportunity to resolve a curable issue before termination.
Termination does not eliminate payment obligations or other provisions that by their nature should survive termination.
34. Data Following Termination
Access to data associated with a hosted or subscription Service may end after termination or expiration.
Customers should maintain appropriate copies or backups of information they are required to retain.
Any specific data export, migration, transition assistance, or retention obligation will be governed by the applicable service agreement.
Pac Soft may retain certain information where reasonably necessary for legal compliance, accounting, security, fraud prevention, dispute resolution, enforcement of agreements, or other legitimate business purposes, subject to applicable law.
35. Force Majeure
Pac Soft will not be responsible for delays or failures caused by events beyond its reasonable control, including natural disasters, severe weather, fire, war, terrorism, civil unrest, labor disruptions, widespread Internet outages, telecommunications failures, cloud-provider failures, government actions, epidemics, pandemics, power failures, or major third-party service interruptions.
36. Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Unless another written agreement specifies a different forum, disputes arising from these Terms or the Services will be brought in a court of competent jurisdiction located in Ohio, subject to applicable jurisdiction and venue requirements.
37. Informal Dispute Resolution
Before initiating formal legal proceedings, you and Pac Soft agree to make a reasonable good-faith effort to resolve disputes informally where practicable.
A party seeking to raise a dispute may contact the other party with a description of the issue and requested resolution.
Nothing in this section prevents either party from seeking urgent injunctive or equitable relief where appropriate.
38. Electronic Communications
When you communicate with Pac Soft electronically, submit website forms, create an account, purchase Services, or otherwise interact electronically, you consent to receive communications relating to those interactions electronically where permitted by law.
Electronic communications may include project communications, invoices, account notices, security notices, subscription notices, service updates, and other transactional communications.
39. Marketing Communications
If you voluntarily subscribe to Pac Soft newsletters or marketing communications, we may send information about software, artificial intelligence, automation, Pac Soft products, and related technology topics.
You may unsubscribe from marketing emails using the unsubscribe mechanism provided in applicable communications.
Unsubscribing from marketing communications does not necessarily stop transactional, security, billing, project, or account-related communications.
40. Changes to Services
Pac Soft may improve, update, modify, add, or discontinue features of its generally available products and Services over time.
Material changes affecting paid contractual Services will remain subject to any applicable project agreement, subscription agreement, or other written commitment.
41. Changes to These Terms
Pac Soft may update these Terms periodically to reflect changes to our Services, business operations, technology, legal requirements, or business practices.
When these Terms are updated, we will revise the Last updated date at the top of this page.
Where required by applicable law, we may provide additional notice of material changes.
Your continued use of the Services after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by applicable law.
42. Severability
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, the remaining provisions will remain in effect to the maximum extent permitted by law.
43. No Waiver
Pac Soft’s failure to enforce a provision of these Terms does not waive the right to enforce that provision or another provision in the future.
44. Assignment
You may not assign your rights or obligations under these Terms without Pac Soft’s prior written consent where consent is legally permitted to be required.
Pac Soft may assign these Terms in connection with a merger, acquisition, corporate reorganization, sale of assets, or similar business transaction, subject to applicable law.
45. Entire Agreement
These Terms, together with applicable privacy policies and any applicable proposal, statement of work, order form, subscription agreement, license agreement, or other written agreement, constitute the applicable agreement between you and Pac Soft concerning the relevant Services.
Project-specific agreements may contain additional or different terms and will control where expressly provided or where they conflict with these general Terms.
